Please read these Terms and Conditions carefully before using the Service.

Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Company (referred to as either "the Company", "Copotential", "I", or "my" in these Terms and Conditions) refers to Copotential, San Francisco, California, USA.

  • Country refers to: California, United States.

  • Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.

  • Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of the Service.

  • Service refers to the Website.

  • Session refers to a one-on-one coaching, discovery, or consulting engagement that You may book with the Company through the Service or by arrangement with the Company, including AI Discovery Sessions, Single Sessions, and AI Adoption Program engagements, for a one-time payment or by separate written agreement.

  • Terms and Conditions (also referred to as "Terms") means these Terms and Conditions, including any documents expressly incorporated by reference, which govern Your access to and use of the Service and form the entire agreement between You and the Company regarding the Service.

  • Third-Party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that is displayed, included, made available, or linked to through the Service.

  • Website refers to Copotential, accessible from https://copotential.com.

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. The Service includes content and information that is freely accessible to visitors, as well as paid Sessions available for booking.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that You are over the age of 16. The Company does not permit those under 16 to use the Service.

Your access to and use of the Service is also subject to the Privacy Policy, which describes how personal information is collected, used, and disclosed. Please read the Privacy Policy carefully before using the Service.

Payments

All Sessions are sold as one-time purchases. No subscription-based billing is offered.

All sales are final. All payments are non-refundable. Once a Session is purchased, no refunds will be issued under any circumstances, except where consumer protection law grants You a statutory right of refund that cannot be contractually waived (for example, the EU or UK cooling-off right for digital services, subject to any waiver You have accepted at checkout).

For Sessions, please give at least twenty-four (24) hours' notice if You need to reschedule. Sessions that are not cancelled or rescheduled before the scheduled start time are considered rendered. Rescheduling is offered as a courtesy and does not entitle You to a refund.

For AI Adoption Program engagements entered into by separate written agreement, the payment and cancellation terms set out in that agreement will apply.

All payments are processed by the third-party payment processor, Stripe, on Stripe's own website, to which You are redirected when making a purchase. Your payment card information is never collected or stored by the Company.

Intellectual Property

The Service and its original content (including, without limitation, all articles, videos, images, designs, and other media made available through the Service), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

Trademarks and trade dress of the Company may not be used in connection with any product or service without the prior written consent of the Company.

Restrictions

The Service and any Session You purchase are made available for Your personal or internal business use. You agree that You shall not:

  • Copy, reproduce, distribute, republish, download, display, post, transmit, or make publicly available any part of the Service's content, source code, design, or assets in any form or by any means, except as expressly permitted by the Service's features.
  • Create derivative works, adaptations, or modifications based on the Service's content, code, design, or functionality.
  • Use any automated tool, script, or crawler to extract, scrape, or download the Service's content, source code, or assets, including for the purpose of training any machine learning or artificial intelligence model.
  • Remove, alter, or obscure any copyright, trademark, watermark, or other proprietary notices contained in the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service for the purpose of creating a competing or substantially similar product or service.
  • Record, rebroadcast, or redistribute any Session, or any recording of a Session, without prior written consent.
  • Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make available to any third party the Service or any part thereof.
  • Use the Service's content, code, design, or assets to build, train, or operate a product or service that competes with the Service.

Confidentiality of Sessions

Information shared by You during a Session is treated with discretion and will not be disclosed to third parties except as required by law or as necessary to provide the Service. You agree to treat any non-public information shared by the Company during a Session as confidential and not to disclose it to third parties without prior written consent.

Your Feedback to the Company

You assign all rights, title, and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction.

Links to Other Websites

The Service may contain links to, or embed content from, third-party websites or services that are not owned or controlled by the Company. This includes the payment processor's website (Stripe) to which You are redirected to complete a purchase.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

You are strongly advised to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

The Company may terminate or suspend Your access to the Service immediately and without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately. Termination does not entitle You to a refund of any Session You have purchased. All sales are final as set out in the "Payments" section above.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the total amount actually paid by You to the Company in the twelve (12) months preceding the event giving rise to the liability, or 100 USD, whichever is greater.

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, or otherwise in connection with any provision of these Terms), even if the Company has been advised of the possibility of such damages.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, liability will be limited to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if made available in a language other than English. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, reasonable efforts will be made to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at the Company's sole discretion.

By continuing to access or use the Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
